OpenAI Cursor Deal Faces Nov. 12 Cutoff After SpaceX Buy

SAN FRANCISCO: The OpenAI Cursor deal could end on November 12 after SpaceX acquired the coding platform, with OpenAI citing concerns about whether its technology would be used in accordance with contractual terms.

OpenAI announced the decision on August 28 and described November 12 as a proposed shutoff date, not yet the final termination date. Its updated support page says both companies still need to confirm the official cutoff.

The company did not accuse Cursor itself of breaching its agreement. Instead, OpenAI cited what it described as previous contract and terms-of-service violations involving other Elon Musk-controlled companies, including Twitter/X and xAI.

OpenAI said its custom Cursor agreement included a limited cancellation window following a change of control. The company also said it would not provide future models to Cursor under the existing arrangement, including its upcoming Astra model.

SpaceX completed its acquisition of Cursor on August 14. Cursor confirmed the takeover in an official company post, while earlier SpaceX filings described the proposed transaction using an implied Cursor equity value of USD 60 billion.

Cursor co-founder Michael Truell said OpenAI models account for about 5% of Cursor user traffic and that the companies were discussing the decision. The proposed cutoff does not necessarily prevent all Cursor users from accessing OpenAI technology.

OpenAI says users can continue through their own OpenAI API keys, the Codex IDE extension or compatible AI gateway providers after direct Cursor access ends.

Cursor currently supports OpenAI’s GPT-5.6 family, including Sol, Terra and Luna. OpenAI officially released those models in July 2026.
